Massimo regularly supports boards of directors, internal committees and boards of statutory auditors in managing ordinary activities and extraordinary M&A transactions, such as company and business unit acquisitions, mergers (both direct and reverse), public tender offers, also handling communications with supervisory authorities, preparing opinions required by regulations and recording the minutes of related meetings.
Massimo has gained specific experience in drafting internal regulations and procedures, including at group level, with particular focus on management and coordination aspects, directors’ interests and related-party transactions.
In the equity capital markets sector, Massimo has assisted various Italian and foreign companies in structuring and carrying out listings on markets and MTFs, capital increases, public tender and exchange offers, drafting prospectuses and preparing the corporate and regulatory documentation required for admission to trading, also managing relations with supervisory authorities (Consob, Borsa Italiana).
Massimo has also consolidated expertise in commercial contracts, negotiating investment agreements and drafting shareholders’ agreements, assisting Italian and international clients in investment transactions, joint ventures and defining governance structures.
