DWF assists Florence Group S.p.A. in the acquisition of Manifatture Cesari

Milan, June 10th, 2021 – DWF's Italian team has advised Florence Group S.p.A. in a 100% buyout of Manifatture Cesari S.r.l., a company located in Umbria specialising in the production of jersey clothing.
The DWF team assisted Florence Group S.p.A. in the acquisition of Manifatture Cesari S.r.l., with the deal led by Luca Cuomo (Partner and Head of Corporate, M&A, & Private Equity in Italy), and assisted by Matteo Polli (Counsel), Giacomo Romiti (Counsel) and Alberto Sieli (Associate). Artemis Tiamkaris (Senior Associate) and Antonio Lopetuso (Associate) advised on Corporate and M&A.

Due diligence was also undertaken by Giorgio Manca (Partner and Head of Employment in Italy), with Paola Mariani (Counsel) advising on employment, and Tancredi Marino (Partner) and Francesco Provenzano (Counsel) advising on tax. Gianni Vettorello (Counsel and Co-Head of Banking & Finance in Milan), advised on financing.

The acquisition of Manifatture Cesari is part of the project of the Florence group, led by Francesco Trapani, to develop a leading international platform for the supply of high quality products for some of the world's most important fashion brands, priding itself on manufacturing products 'Made in Italy' through the aggregation of family businesses.
