Experience
During his professional experience, Massimo has provided support to several listed companies, including banks, for which he has provided advice and opinions on corporate governance, corporate and commercial law with particular reference to compliance audits with regulatory provisions and in relation to the roles and functions of independent directors and committees within the board of directors. Massimo assisted various internal committees of the Board of Directors and Boards of Statutory Auditors of listed companies in the management of both their ordinary activities and specific extraordinary transactions (acquisitions of business units, direct and reverse mergers, takeover bids), as well as in preparing opinions required by law, keeping minutes of the relevant meetings and in relation to communications with supervisory authorities.
Over the years, Massimo has focused, among other things, on assisting in the preparation of regulations and internal procedures, developing specific experience in management and coordination, related party transactions and banking regulations on risk activities and conflicts of interest with related parties.

- June 2021: Assistance to independent directors in the context of a Tender Offer for Sicit S.p.A.
- November 2020: Assistance to the Related Parties Committee of Nexi S.p.A. in the context of the Merger by incorporation of Nets into Nexi S.p.A.
- October 2020: Assistance to the Related Parties Committee of Recordati S.p.A. in the reverse merger of Fimei and Rossini into Recordati S.p.A.
