Experience

Don has experience in all aspects of domestic and cross-border lending. He has particular expertise in receivables finance, asset-based lending, speciality finance and asset finance and advises his clients on a broad spectrum of bilateral and syndicated financings, refinancings and restructurings. Don's experience includes advising on:

  • factoring arrangements
  • invoice discounting agreements
  • supply chain finance arrangements
  • bilateral and syndicated debt purchase facilities and borrowing base facilities
  • non-recourse structures
  • inventory and equipment financings.

Many of the transactions on which Don advises are cross-border and he is experienced in dealing with issues relating to asset security across multiple jurisdictions. He also has extensive experience advising lenders and borrowers on structures where asset-based lending sits alongside other lending products, for example term debt provided against cash-flow.

In relation to speciality finance, Don's experience encompasses a wide range of asset classes, including bridging and development loans, leases/HP agreements, buy-to-let mortgages, SME loans, automotive loans, and litigation receivables. He has experience advising on syndicated and bilateral, senior/ mezzanine structures in a domestic and cross-border context.

Don regularly advises both borrowers and lenders on borrowing base facilities, warehouse structures, forward flow agreements, account bank arrangements and servicing agreements.

Don also advises lessors, financiers, investment funds, banks and other financial institutions on a wide range of asset finance transactions, including operating and finance leases, receivables purchase arrangements, loans for the purchase of equipment and the financing of managed service contracts.
