DWF supports ORLEN on acquisition of the Polimery Police project

DWF, a global provider of integrated legal and business services, acted as exclusive transaction advisor to ORLEN S.A. on the conclusion of a preliminary agreement for the acquisition of the Polimery Police project from Grupa Azoty, involving 100% of the shares in Grupa Azoty Polyolefins S.A.

This transaction relates to one of the key restructuring projects in the Polish chemicals and petrochemical sector, enabling ORLEN Group to develop its polyolefin production capabilities and consolidate its downstream assets.

DWF Poland provided comprehensive legal advice, including conducting an extensive due diligence review of GA Polyolefins, in addition to transaction advisory services within a multi-party structure, covering the financing parties (a consortium of several international banks), the project sponsors (Grupa Azoty), the EPC contractor (Hyundai), and Korea Overseas Infrastructure & Urban Development Corporation (KIND), a Korean investment agency). The DWF team also provided support in the area of competition law, including assessing notification obligations and involvement in proceedings before the competition authorities.

The advisory services were delivered by DWF Poland’s multidisciplinary team, combining expertise in M&A, restructuring, regulatory affairs, competition law, banking and finance, real estate and litigation. The team worked closely with the business teams at ORLEN S.A., and with Maciej Jamka, senior partner and Patrycja Treder, counsel providing strategic supervision over the project’s delivery.

The Polimery Police project is a strategic investment in the Polish plastics processing sector, comprising a polypropylene production facility, forming a key element of the domestic chemicals industry value chain.

DWF Poland’s involvement in this transaction confirms the firm’s commanding position in advising on complex, multi-faceted transactional and regulatory projects carried out for key players in Poland’s energy and industrial sectors.
