DWF advises Zinnwald Lithium on £57m recommended acquisition by AMG Lithium

DWF, the global provider of integrated legal and business services, has advised Zinnwald Lithium plc on its recommended £57 million acquisition by AMG Lithium B.V., a wholly owned subsidiary of AMG Critical Materials N.V.

Zinnwald is advancing one of Europe's largest integrated lithium projects, focused on supplying battery-grade lithium hydroxide and is seeking to become a leading domestic supplier to the European battery industry. Zinnwald is a longstanding client of DWF, with the firm having acted for it continuously since its AIM IPO in 2017. 

The DWF team advising Zinnwald is led by corporate partner John Campion and corporate team members Jemil Visram (Director), Ciara Healy (Senior Associate), Feras Alobaidli (Solicitor) and Adrianna Zawilska (Solicitor). Share incentives advice is being provided by James Cashman (Partner) and Douglas Pyrke (Solicitor), while competition and foreign investment advice is led by Dimitris Sinaniotis (Partner). Joel Heap (Partner) and Victoria Harkness (associate) are advising on the court process for the scheme of arrangement.

Financial advice to Zinnwald is being provided by Allenby Capital Limited (David Hart, Liz Kirchner and Barnaby Stott). 

AMG Lithium B.V. and AMG Critical Materials N.V. are being advised by Europa Partners Limited and Paul,Weiss, Rifkind, Wharton & Garrison LLP.
