Cassa Lombarda increased its shareholding in Anthilia to 14.29% from the previous 7.78%, taking over the 6.51% share of Anthilia's capital stock held by its parent company PKB Private Bank SA, thus coming to hold a so-called 'qualified participation'.
The transaction was subject to the prior authorisation of the Bank of Italy and has a medium-long term strategic purpose for Cassa Lombarda, with the aim of further developing its commercial partnership with Anthilia, especially in the context of the origination of new funds and private market solutions, focused on SMEs with high growth potential and set up under the form of Eltif or PIR alternatives
DWF's multidisciplinary team that assisted Cassa Lombarda and PKB was coordinated by partner Luca Lo Po', European head of the firm's capital market practice. The regulatory and authorisation profiles with the Bank of Italy were handled by senior associate Marta Tiraboschi, senior associate Gianluca Petrachi and counsel Marzia Martinoli, while the corporate and contractual profiles were handled by counsel Massimo Breviglieri and associate Isabella Marchetti.
For Cassa Lombarda, general counsel Leonardo Rossi acted for the legal profiles.
