DWF advises Arlington Industries on its latest acquisition

03 April 2019
DWF has advised Arlington Industries Group (Arlington), on the acquisition of the Wahler thermostat business from BorgWarner.

Arlington is a British automotive and aerospace components manufacturer with its headquarters in Manchester. Wahler is a manufacturer of automotive thermostats, with operations primarily in Germany.

A DWF team led by corporate partners Alasdair Outhwaite in Manchester, UK and Mathias Reif in Cologne, Germany advised Arlington and its shareholder Cartesian on the deal. Members of the international DWF team were: Boris Kroepsky (Corporate, Germany), Marcus Kissel (Employment law, Germany), Daisy Walzel (Anti-trust, Germany), Andreas Panzer (Tax, Germany), Katy Philips (Corporate, UK), Christine von Hauch (Commercial law, Germany), Roman Kies (Employment law, Germany) and Christian Hannemann (Corporate, Germany).

Commenting on the deal, Alasdair Outhwaite and Mathias Reif said: "We are pleased to have advised Arlington on the completion of this transaction. Arlington is a British manufacturing success story and this acquisition further reinforces the strength of their business."

Mark Franckel, Arlington Industries Group CEO, said: “We selected DWF for this transaction because it was a very complex cross border transaction with a mixture of asset carve outs and share sales.  We could not have closed this transaction in such a timely manner without their network of highly skilled lawyers and project management support."
