DWF advises Rubis Terminal in connection with the indirect sale of Rubis Terminal Petrol

DWF advised Rubis Terminal, in connection with the sale of 100% of the shares of the holding company (Company) of its Turkish operating company (Rubis Terminal Petrol) to the Turkish company Transpet Petrolcülük ve Enerji A.Ş. (Transpet).

Rubis Terminal, a leading independent storage provider specialising in the storage and handling of bulk liquid products, completed the sale of 100% of the shares of the Company holding Rubis Terminal Petrol to Transpet, a Turkish group specialised in the energy sector, following an agreement signed between the parties on December 15, 2021.

The Rubis Terminal Petrol terminal has a storage capacity of 650,000m3 dedicated to petroleum products and a 2.3km long jetty. The Terminal is strategically located to take advantage of the Eastern Mediterranean zone’s growing role as a key trading hub and provides critical import/export infrastructure for Iraqi flows.

DWF, acting as "lead counsel", advised Rubis Terminal on corporate/M&A aspects of the transaction, with a team led by Pascale Gallien, partner, assisted by Vincent Maufront, counsel, and Marie-Noëlle Guilpain, associate. Law firm Dirkzwager legal & tax assisted on Dutch law aspects and Özkan Gürden Bingöl (OGB) on Turkish law aspects.

Transpet was advised by the law firm Küçük Law Office.
