DWF advises Free Sénégal with the sale of its passive infrastructure assets to Helios Towers

DWF have advised Free Sénégal, the second largest mobile operator in Senegal, in the sale of 1,200 sites in Senegal with an additional 400 built to suit sites, in connection with the agreement with Helios Towers, the telecommunications infrastructure company.
Free Sénégal and Helios Towers have also agreed the terms and conditions of a 15-year Master Service Agreement providing for the use on the acquired sites and the sites to be built in the future. 

The €200 million transaction is subject to regulatory approval. It is expected to be completed in the first half of 2021.

This agreement aims to enable Free Sénégal to extend the mobile coverage of its network by partnering with Helios Towers, which will become one of the largest passive telecom infrastructure providers in Senegal. 

DWF in France advised Free Sénégal with a team composed of Jean-François Mercadier, managing partner, Ali Boroumand, partner, and Hérine Oualembo and Marie-Noëlle Guilpain, associates, on the acquisition documentation and the Master Service Agreement. Vincent Lazimi, partner, and Jessica Sellem, associate, assisted on tax structuring, and Charles Koskas, partner, on real estate aspects. 

Free Sénégal was also assisted by the law firm Mame Adama Gueye, with Mame Adama Gueye, partner, and Alioune Mboup, associate, on Senegalese tax law aspects.

Helios Towers was advised by Vinson & Elkins, with Robert Dixon, partner, on the Master Service Agreement, and by Hogan Lovells, with Xavier Doumen, partner, on the acquisition documentation
