Rory is a partner in DWF's finance and restructuring team in London and specialises in advising stakeholders on a very wide variety of restructuring and insolvency-related matters.

Experience

Rory specialises in advising insolvency practitioners, financial institutions (including major clearing banks and debt funds), bondholders, large corporates, directors, private equity sponsors and other stakeholders on a wide range of restructuring and insolvency-related matters across a broad variety of sectors. Rory also has experience advising on general lending and speciality financings (including acquisition and trade financings).

He has a particular focus on complex and cross-border financial restructurings involving multiple jurisdictions and different stakeholders in the capital structure and providing pragmatic, commercial and innovative advice. Rory is also committed to different forms of fee structures that acknowledge that different clients may have different needs (especially if liquidity is tight).

Key transactions have included advising:

  • KCA Deutag (a global oil and gas services company) in connection with its USD 1.9bn financial restructuring (which involved a debt for equity swap implemented by way of an English law scheme of arrangement)
  • Consort Healthcare (Tameside) plc on its Part 26A restructuring plan (which was the first RP to be proposed by a PFI company);
  • PwC (as administrators) in connection with the administration of Reaction Engines Ltd;
  • The Solar 21 group on its financial restructuring (which was implanted by way of two inter-conditional Irish schemes of arrangement) (2022 – 2023);
  • The senior lenders (and then Interpath as administrators) in relation to restructuring of the D&D restaurant group;
  • The administrators (from Alvarez & Marsal) on the pre-packaged administration of the Aurora Lighting group;
  • ING in its capacity as key lender and trade finance provider on the approx. USD 3.5bn restructuring of Noble Group, the global commodities trader;
  • The co-ordinating committee of lenders on the restructuring of Interpipe, a large Ukrainian steel manufacturer;
  • A major international financial institution on various distressed real estate financings in the UK and France; and
  • The directors of various entities in financial distress in connection with their directors' duties.
