We support clients from pre-investigation engagement through to the Regulatory Decisions Committee and Upper Tribunal, helping them understand the FCA's case, shape the response strategy, respond to extensive information requests, prepare individuals for interview and assess settlement or challenge options.

Understanding enforcement investigations

Enforcement investigations are the most serious form of FCA intervention. They can lead to financial penalties, public censure, restrictions on business, prohibition or other action against individuals, and significant reputational and operational disruption. They also require firms and senior managers to make early strategic decisions about scope, evidence, governance, privilege, regulatory engagement, settlement and whether to contest the FCA's case.

Whilst the number of FCA enforcement investigations has reduced in recent years, the FCA has emphasised it plans faster, more focused and more impactful enforcement action. Investigations may arise from supervisory escalation, whistleblowing, litigation and complaints, Skilled Person findings, market intelligence, thematic work, individual conduct issues or alleged failures to remediate.

Once an investigation is opened, the way the firm responds in the early stages can materially affect the direction, duration and outcome of the case.

How we help clients

We support clients through all stages of an enforcement matter, from pre-investigation engagement and internal fact-finding through to FCA information requirements, interviews, representations, settlement discussions and contested proceedings. Our focus is on helping clients understand the FCA's case, protect privilege, manage evidence, maintain business continuity and pursue the best available outcome.

Pre-investigation strategy and internal investigations

We help firms investigate issues before or alongside FCA engagement, including assessing the facts, identifying root causes, considering FCA notifications and advising on whether any proactive remediation steps are required. Early internal investigation work can help the firm understand the issue, engage credibly with the FCA and reduce the risk of the matter escalating unnecessarily.

Investigation response and defence strategy

Where the FCA has opened a formal investigation, we advise on the scope of the notice of appointment, compulsory information requirements and document production, witness and compelled interviews, preserving legal privilege and any settlement or appeal options.

We help clients develop a clear defence strategy, test the FCA's theory of the case, prepare senior managers and employees, and decide when to cooperate or challenge the FCA and the timing and content of any representations.

Settlement, challenge and proceedings

We advise on settlement strategy, penalty and sanction risk, private warnings, representations to the FCA, Regulatory Decisions Committee processes and, where necessary, Upper Tribunal proceedings. We also support firms and individuals in managing parallel risks, including civil claims, complaints, employment issues, insurance reporting, financial crime exposure and reputational impact.
