DWF advises Walker Crips Group plc on recommended takeover by PhillipCapital UK

DWF, the global provider of integrated legal and business services, has advised Main Market-listed Walker Crips Group plc on its recommended takeover by PhillipCapital UK Ltd by way of a court-sanctioned scheme of arrangement.

Walker Crips Group provides a broad range of financial products and services, including investment management, financial planning, self-invested personal pensions, and small self-administered pension schemes, share dealing and structured investments.

The transaction was valued at approximately £5.96 million and was subject to a number of conditions, including the grant of change of control approval by the Financial Conduct Authority. The scheme became effective on 3 March 2026.

The DWF corporate team was led by partner John Campion and director Jemil Visram, supported by solicitors Matthew Kernohan and Feras Alobaidli. Litigation partner Joel Heap and associate Victoria Harkness advised on the court-sanctioned scheme of arrangement. Tax advice was provided by partner James Cashman and solicitor Douglas Pyrke, while director Aaron Osborn provided financial regulatory advice.

Walker Crips Group was advised on the financial terms of the takeover by Singer Capital Markets Advisory LLP.
