Corporate partner Luca Cuomo advised on the transaction alongside associate Artemis Tiamkaris, which saw the Tages Group take a 34 per cent stake in VAM Investments with Tages stakeholder Francesco Trapani acquiring a 15 per cent stake to become the executive chairman of the newly formed business, VAM Investments Group Spa. VAM Investments shareholder Marco Piana will remain as its chief executive officer.
The next three years will allow for the possibility for further integration under the deal, with Tages having the opportunity to increase its stake by 100 per cent and for the current shareholders of VAM Investments to become shareholders of Tages.
Luca Cuomo, Corporate Partner at DWF Italy, said: "We're delighted to have advised on this deal which will see VAM increase its private equity operations with Tages' broader alternative asset management presence. This transaction showcases both our expertise in corporate law as well as our due diligence capabilities."
DWF Italy regularly advises on many high profile corporate transactions including acting on the recent acquisition of Pancioc, the management company of the Italian food retail chain Panini Durini, by independent advisory company Astraco.
